The world has changed. Back in 1989 where I first started doing business, during the previous regime, one would typically receive advertising newspapers in the mailbox or find them in public spaces. How has the world changed? Let me explain. Nowadays, when you want something, you enter it into a search engine and get results, sometimes better and sometimes worse. In the past, when I received those fragrant, paper advertising newspapers, I discovered companies I didn't even know existed. Sometimes I found something I liked but hadn't been actively searching for. This is what my partner and I have decided to change with "adsbids.com". At "adsbids.com", anyone can purchase as many pixels as they deem neccesary. They can publish only their logo and a link to their website, where visitors can learn about what the company offers. Everything, including payment, happens within seconds! With my contribution, I once again hold (on my computer screen) advertising newspapers, only now they are simply digitized. If I can trade in virtual (digitized) currencies and have digitalized trading with physical gold, why not have beautiful, digitalized advertising newspapers? Perhaps we'll even print them someday, and then they will smell nice again, like in the old days. And precisely because the world has changed, I can resell the space I buy here at any time. That's the beauty of it! If the project succeeds, I will stay. I will never sell my space because its value will increase over time. And if I'm not satisfied? I can sell my space whenever there is demand. But this applies generally to anything, not just AdsBids.

How did this whole idea come about?
This is a summer, fresh, fast project. Generally, I don't work too well in the summer. Perhaps with age, I tolerate less those relentless weather fluctuations that are all around us. That's why I welcomed Martin to my cottage one summer day. And what came out of it?
I missed the good old advertisement newspapers, where you could discover something new, and Martin remembered an older project, The Million Dollar Homepage, from which we could use the technical core for our purposes.
How did we meet? Martin was recommended to me by a former colleague from work who taught Martin at university. He said he had an exceptionally successful bachelor's thesis on stock market backtesting, which intrigued me. We were looking for someone for our client center at that time. So, we arranged to meet with this unassuming guy. At that time, though, I desperately needed someone to manage cash flow in the company. In a company that went from turnover (meaning currency exchange) of 4,000,000 CZK in 2014 to over 2,000,000,000 CZK in 2021. I used to try to manage it in Numbers (Excel), but it didn't work. So, I designed my own system, my own software, to manage the cashflow. Imagine having to compare and monitor data from about a thousand sources - all at once and in real time.
That was the work I had to do. But I'm an intuitive investor and entrepreneur; I need to draw, think, invent, combine! So I conducted several interviews with people recommended to me for the position.
I was tired and fed up with their corporate jargon. Everything had its compartment, its box. But that's not how a company works that is developing rapidly and dynamically. And then one day at a meeting, I complained that I couldn't find anyone. And suddenly, when Martin was introducing himself, when he was supposed to say a few words about himself, he said that above all, he loves numbers. It was like a revelation to me.
So we quickly reached an agreement. We solved the client center from our own resources, and Martin fully took over managing cashflow for me. And more importantly, he took over further development of the entire information system for managing cashflow. Every 10 minutes, we know the exact results and status of all companies trading in virtual currencies and gold. And I consider that a huge success.
And now we're creating something new together. I'm looking forward to it and I'm curious to see how we'll succeed.

For each country, there is a limited offer of 1,000,000 pixels (up to 10,000 clients). Once the advertising space is sold out, there will be no expansion. Potential clients have the option to purchase advertising space in their country of business presence or in another country where advertising space is still available. The special offer for advertising space is presented on the website www.AdsBids.com, primarily targeting businesses with global operations.

AdsBids, s.r.o. uses Stripe as the payment gateway for accepting payments. Currently, Stripe does not offer a Czech interface, so if you encounter any issues due to language barriers, please do not hesitate to contact us, and we will gladly assist you with your payment.

- (hereinafter referred to as the "Commercial Terms")

- INTRODUCTORY PROVISIONS
- 1.1. These Commercial Terms of the Lessor regulate, in accordance with Section 1751, paragraph 1 of Act No. 89/2012 Coll., the Civil Code, as amended (hereinafter referred to as the "Civil Code"), the mutual rights and obligations of the contracting parties arising in connection with or based on the rental agreement (hereinafter referred to as the "Rental Agreement") concluded between the Lessor and another individual entrepreneur or legal entity (hereinafter referred to as the "Lessee") (collectively referred to as the "Contracting Parties") via the Lessor's website. The rental of digital space for business purposes is operated by the Lessor on the website located at https://www.presentuj.cz/ (hereinafter referred to as the "Website"). Digital space is understood as a digital area of a certain size expressed in pixels (hereinafter referred to as "px"), located on the Website.
- 1.2. The Lessor rents digital space to Lessees for the purpose of conducting their business activities in accordance with Section 2302, paragraph 1 of the Civil Code, whereby Lessees place their image/logo and URL/link to their website into this digital space (hereinafter also referred to as the "Subject of the Lease").
- 1.3. The provisions of the Commercial Terms are an integral part of the Rental Agreement. The Rental Agreement and the Commercial Terms are drawn up in the Czech language, and the Rental Agreement itself is not concluded in writing in the form of a separate document, but is concluded through the process detailed in Article 2 of the Commercial Terms via individual steps on the Lessor's Website and through the Stripe payment gateway, with the Lessor electronically archiving this process in its own software system.
- 1.4. The Lessor may amend or supplement the wording of the Commercial Terms. This provision does not affect the rights and obligations arising during the effective period of the previous wording of the Commercial Terms.
- CONCLUDING THE RENTAL AGREEMENT
- 2.1. The Lessee (before concluding the Rental Agreement, understood as the applicant for the lease) selects the size of the digital area they are interested in on the Website, with the minimum size of the Subject of the Lease being 100px (an area of 10px*10px), the maximum size limited to the still-unleased digital area, with a limited total digital area of 1,000,000px per country. The size of the Subject of the Lease is further limited by the rule of multiples of the minimum size, meaning that, for example, one cannot lease 105px, but the next possible size is 200px, 300px, etc. The Lessee uploads the image/logo they wish to place on the digital area, enters the URL they want to link to, and fills in their email, which the Lessor needs to keep in their database for the duration of the contractual relationship to fulfill rights and obligations arising from the Rental Agreement. The Lessee then clicks the "Pay" button, which redirects them to the payment gateway. On the payment gateway, the Lessee enters their personal information, such as full name and payment card details, agrees to these Commercial Terms, and confirms that they are an individual entrepreneur or a legal entity, as the Rental Agreement is concluded solely for the purpose of the Lessee's business activities (thus, the Lessee cannot be a consumer and is not entitled to any rights that would be granted to a consumer or a weaker contracting party). Once the Lessee has filled everything out and checked the boxes, they can click the "Pay" button, thereby concluding the Rental Agreement (hereinafter also referred to as the "Rental Agreement" and "Lease"). After clicking the "Pay" button on the Stripe payment gateway, the image and URL from the previous form are automatically inserted into the digital area, fulfilling the obligations of the Lessor.
- 2.2. Leasing the digital area does not grant the Lessee any ownership rights to the Subject of the Lease, to the pixels, to the Website, or to the Lessor. By leasing the digital area, the Lessee only obtains the right to place and publish an image with a link at the respective coordinates of the area, which forms the Subject of the Lease.
- 2.3. The Rental Agreement is concluded for a fixed period until 30.6.2033. The Lessee assumes the risk of changes in circumstances within the meaning of Section 1765, paragraph 2 of the Civil Code.
- 2.4. Once the image and link are published, the Lessee cannot change the image or link. Exceptions are serious reasons, such as copyright issues or legal disputes. Once the image and link are published, the Lessee loses the right to a refund, as they cannot withdraw from the Rental Agreement without cause (the Lessee is an entrepreneur who does not have the right to withdraw without cause within 14 days of concluding the lease, and it is also a lease of digital content), and the lease cannot be terminated without cause since the contract is concluded for a fixed period. Images and links with offensive content will be deleted by the Lessor without the right to a refund (spam, fraud, discrimination, fake news, ideological content, etc.), and the lease will be terminated by the Lessor without notice. If the content of the original linked page changes during publication and it contains inappropriate content, it will be deleted without the right to a refund, and the lease will be terminated by the Lessor without notice. The Lessor monitors the content on the linked pages continuously. If the Lessee wants to remove their image and link from the Website for any reason, they can do so, but without the right to a refund, and the lease will be terminated by the Lessor without notice, and the leased digital area will be made available for other applicants. Images must be in BMP/PNG/GIF format. These formats are chosen to maintain content quality during subsequent resampling. Lessees can upload images in any size, as they are resampled to the size of the leased space after uploading. Therefore, it should be noted that if the Lessee does not upload the exact size of the image in proportion to the leased advertising space, there may be a slight deterioration in content quality. Links to the respective websites must contain basic encryption, meaning https:// If requested, the Lessee must be able to prove copyright to the provided image and link. If they fail to do so within 14 days from the date of delivery of the request to their email address, the lease will be terminated by the Lessor without notice, and the image and link will be deleted by the Lessor without the right to a refund of the paid rent.
- RENTAL PRICE AND PAYMENT TERMS
- 3.1. The minimum rental price, i.e., the minimum rent, is 168 $ excluding 21% VAT, corresponding to a leased digital area of 100px. The rent increases proportionately with the leased area, so 200px costs 336 $ excluding 21% VAT, and so on.
- 3.2. The Lessor will issue a tax document - an invoice to the Lessee after the rent is paid and send it in electronic form to the Lessee's email address no later than one working day from the date the rent is credited to the Lessor's bank account.
- ASSIGNMENT OF RIGHTS AND OBLIGATIONS FROM THE LEASE
- 4.1. The Lessee is not entitled to grant any third party the right to use the Subject of the Lease.
- 4.2. The Lessee is not entitled to assign the rights and obligations from the Rental Agreement to any third party, except through the secondary marketplace operated by the Lessor. The secondary marketplace refers to the Lessor's website, where offers of the Subject of the Lease from Lessees who wish to transfer all their rights and obligations from the Rental Agreement to a third party for a fee meet the demand from third parties interested in acquiring all rights and obligations of the Lessee from the Rental Agreement for a fee.
- 4.3. On the secondary market website, the Lessee clicks on the "insert offer in the upper right corner" button, then a new form window opens where they enter their personal details, including their bank account for the fee to be sent to, and information about the Subject of the Lease being assigned, including the amount of the fee for this assignment (hereinafter referred to as the "fee"), which is then verified via the Lessee's email provided when concluding the Rental Agreement. After filling in all the details, the Lessee clicks the "insert offer" button. This concludes the contractual relationship with the Lessor for the public offer of assigning the Lessee's rights and obligations from the Rental Agreement. If the Lessee subsequently wishes to withdraw from this public offer, they can do so only until the offer and demand are paired according to the procedure below, in which case the Lessee must pay the Lessor a contractual penalty of 5% of the advertised price if they withdraw within 30 days; 7% of the advertised price if they withdraw within 14 days; 10% of the advertised price if they withdraw within 7 days.
- 4.4. Once the Lessor finds an interested party for the paid acquisition of the Lessee's rights and obligations from the Rental Agreement (hereinafter referred to as the "Interested Party"), the Lessor sends a notification email to the Interested Party with instructions for paying the fee to the Lessor's bank account. If the Interested Party does not pay the fee properly and on time according to the Lessor's instructions, the Lessee's offer returns to the public offer. If the Interested Party pays the fee properly and on time, the Lessor sends an email confirming the successful transaction and the removal of the lease rights to the Subject of the Lease from the Lessee, and simultaneously sends an email to the Interested Party confirming the successful transaction and the assignment of the lease rights to the Subject of the Lease to the Interested Party. The Lessor also transfers the fee minus a commission of 7% of the fee to the Lessee, thereby terminating and settling the business relationship with the existing Lessee. As for the assignment process from the Interested Party's perspective, they select the offer on the secondary market website and click the "Pay" button, which redirects them to the Stripe payment gateway. After filling in the details and clicking the "Pay" button on the Stripe payment gateway, all rights and obligations from the Rental Agreement are transferred from the existing Lessee to the Interested Party, and the Lessor sends a notification email. The Lessor then sends an email to the Interested Party with requests to provide a new logo/image and URL to be uploaded. Once the Lessor receives the requested files from the Interested Party, they upload them to the vacated digital space. Upon successful uploading of the requested files, the business relationship with the Interested Party is successfully concluded.
- 4.5. If the Lessor does not find an interested party within 30 days according to paragraphs 4.3 and 4.4 of the Commercial Terms, the Lessor undertakes to pay the Lessee the equivalent of the market price for which the assignment of rights and obligations from the Subject of the Lease is usually traded on the Lessor's secondary marketplace at the time and place.
- PROTECTION OF PERSONAL DATA
- 5.1. The Lessor fulfills their information obligation towards the Lessee in accordance with Article 13 of Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (hereinafter referred to as "GDPR") concerning the processing of the Lessee's personal data for the purpose of fulfilling the rental agreement, negotiating the rental agreement, and fulfilling the public-law obligations of the Lessor through the information provided below.
- 5.2. The data controller according to Article 4, point 7 of the GDPR is the Lessor (also referred to as the "controller").

- 5.4. Personal data refers to all information about an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of that natural person.
- 5.5. The controller has not appointed a Data Protection Officer.
- 5.6. The controller processes personal data provided by the Lessee and the Interested Party or personal data that the controller obtained based on fulfilling their order.
- 5.7. The controller processes identification and contact details of the Lessee and the Interested Party and data necessary for fulfilling the contract.
- 5.8. The legal reason for processing personal data is the fulfillment of the contract between the Lessee and the Interested Party and the controller under Article 6(1)(b) of the GDPR and the controller's legitimate interest in providing direct marketing (especially for sending commercial communications and newsletters) under Article 6(1)(f) of the GDPR.
- 5.9. The purpose of processing personal data is to exercise rights and obligations arising from the contractual and pre-contractual relationship between the Lessee or the Interested Party and the controller; personal data necessary for the successful conclusion of the contract (name and address, contact, payment card or bank account number) is required when placing an order. Providing personal data is a necessary requirement for concluding and fulfilling the contract, and without providing personal data, it is not possible to conclude the contract or fulfill it by the controller, and sending commercial communications and conducting other marketing activities.
- 5.10. The controller does not engage in automatic individual decision-making as per Article 22 of the GDPR.
- 5.11. The controller retains personal data for the period necessary to exercise rights and obligations arising from the contractual relationship between the Lessee and the controller and to enforce claims from these contractual relationships (for a period of 10 years from the termination of the contractual relationship). After the retention period of personal data, the controller deletes the personal data.
- 5.12. Recipients of personal data are persons involved in the execution of payments based on the contract, providing website operation services, and other services related to website operation and providing marketing services.
- 5.13. The controller intends to transfer personal data to a third country (outside the EU) or an international organization. Recipients of personal data in third countries are providers of mailing services/cloud services.
- 5.14. Under the conditions set out in the GDPR, the Lessee and the Interested Party have the right to access their personal data under Article 15 of the GDPR, the right to correct personal data under Article 16 of the GDPR, or restriction of processing under Article 18 of the GDPR, the right to erasure of personal data under Article 17 of the GDPR, the right to object to processing under Article 21 of the GDPR, and the right to data portability under Article 20 of the GDPR, the right to file a complaint with the Office for Personal Data Protection if they believe their right to personal data protection has been violated.
- 5.15. The controller declares that they have taken all appropriate technical and organizational measures to secure personal data. The controller declares that only authorized persons have access to personal data.
- DELIVERY
- The contractual parties have agreed that the Lessee may be served notices at the Lessee's electronic address (email address), and an email message is considered delivered to the Lessee's email inbox at the moment the email message is sent from the Lessor's email inbox. Therefore, the Lessee is obliged to provide a valid and current email address at the commencement of the lease, which they genuinely and regularly use, and is also obliged to immediately inform the Lessor of any changes regarding their email address.
- FINAL PROVISIONS
- 7.1. If the relationship established by the contract includes an international (foreign) element, the contractual parties agree that the relationship shall be governed by Czech law.
- 7.2. If any provision of the terms and conditions is invalid or ineffective, or becomes such, a provision whose meaning is as close as possible to the invalid provision shall replace the invalid provisions. The invalidity or ineffectiveness of one provision does not affect the validity of the other provisions.
- 7.3. The lease agreement (i.e., the data provided during its negotiation and the process of its conclusion), including the terms and conditions, is archived by the seller in electronic form and, except for the terms and conditions, is not accessible.
